外商獨資企業是由外方完全出資進行投資的有限責任公司，它由外方自己經營，自己獲得利潤，自己承擔風險。中國的外商獨資企業是在鼓勵生產型企業的基礎上形成的，因為此類企業產品以出口為導向，並能引進先進技術。隨著中國加入WTO，這種情況已有所改變，更多的服務性的外商獨資企業相繼成立，很多管理咨詢公司、軟件開發公司及貿易（以各保稅區為例）公司不斷產生。
外商獨資企業有以下優勢：
（1）獨立自由地開展母公司的全球戰略，不需要考慮中方投資者的因素。
（2）有能力正式開展業務，而無須像代表處一樣有諸多限制。
（3）以人民幣作為收入向客戶開人民幣發票。
（4）人民幣利潤轉化成美元向境外母公司彙付。 直接在中國雇傭員工。
（5）保護知識產權，專有技術。
（6）不需要與其他方分享利潤。
（7）操作上、管理上、在未來的發展上都更有更高效率。
營業範圍：
在項目文件中最重要的一個問題就是外商獨資企業的營業範圍。在中國所有行業的營業範圍都是限定的十分嚴格、精確的。外商獨資企業隻能在其允許的營業範圍內開展商業活動，此範圍會在營業執照上標明。如需修改，要進行申請並取得批準。當然，需要與審批部門有一定的協商以授予較寬的營業範圍。以咨詢公司為例，其營業範圍包括：投資咨詢，國際經濟咨詢、貿易信息咨詢、市場營銷咨詢、公司管理咨詢、技術咨詢，等等。
管理體繫：
外商獨資企業有兩級管理體繫：
（1）董事會，外商獨資企業的最高決策主體。
（2）總經理，負責日常公司管理。
董事會成員一年至少開一次會議，董事會議由董事長主持。法定人數是董事成員的2/3。如董事無法參加會議，可以委任任何一人代表他參加投票。
期限及終止：
在中國，一般一個生產型的外商獨資企業典型的期限是15年到30年（有可能會更長），咨詢公司的期限一般為20年。如果需要延長期限，經過申請也可以批準。如果投資額較大的項目，建設期限較長、投資回報率較低的項目，生產復雜產品，需要外方先進的關鍵技術的項目，還有生產具有國際性競爭力的項目，這些外商獨資企業的期限可以延長至50年。通過國務院特別審批的個別項目，期限可以延長至50年以上。
外商獨資企業在下列情況發生時終止：如由於重大損失，無法繼續維持經營、或出現不可抗力等情況。
